These Terms of Service (“Terms”) govern your access to and use of Opsbliss, including our websites, applications, software, artificial intelligence features, tools, integrations, and related services (collectively, the “Services”).
These Terms are an agreement between you and Opsbliss LLC (“Opsbliss,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, you may not access or use the Services.
If you access or use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” and “your” will refer to that entity.
1. Eligibility and Accounts
Eligibility
You must be at least 14 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian.
You may not use the Services if applicable law prohibits you from doing so.
Account Registration
Certain features require an account. You agree to provide accurate and current information and to keep your account information updated.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.
You may not share account credentials in a manner that circumvents account, user, subscription, or usage limitations.
If you believe your account has been accessed without authorization, you must notify us promptly at support@opsbliss.com.
2. The Opsbliss Services
Opsbliss provides an AI-powered workspace that may include conversational AI, research and analysis, content creation, application and website building, image and media generation, file analysis, assistants, projects, knowledge management, publishing, integrations, and other AI-powered tools.
The Services may change over time. We may add, modify, replace, limit, or discontinue features, applications, models, integrations, or functionality as the Services evolve.
Certain features may be identified as beta, preview, experimental, early access, or similar. Such features may be incomplete, contain errors, change materially, or be discontinued at any time.
3. Artificial Intelligence Services and Third-Party Models
Third-Party AI Providers
Opsbliss may provide access to artificial intelligence models and services developed or operated by third parties.
When you select or use features powered by a third-party provider, information necessary to process your request may be transmitted to that provider. This information may include prompts, text, files, documents, images, audio, video, instructions, conversation context, or other content you provide.
Our handling of personal information is further described in our Privacy Policy.
Model Availability
AI models and providers may be added, removed, renamed, updated, replaced, or restricted at any time.
We do not guarantee that any particular model, provider, version, feature, capability, context window, response speed, or functionality will remain available.
Third-Party Services
Third-party AI providers and other third-party services may operate under their own terms, privacy policies, usage requirements, and technical limitations.
Opsbliss does not control and is not responsible for third-party services, including their availability, accuracy, security, functionality, outputs, or changes to their services.
Your use of third-party services through Opsbliss may also be subject to terms or policies imposed by those providers.
4. Your Content
Input
You may provide prompts, text, documents, files, images, audio, video, data, instructions, code, and other materials to the Services (“Input”).
You retain your ownership rights in your Input.
You represent and warrant that you have all rights, licenses, permissions, and consents necessary to provide your Input to Opsbliss and permit it to be processed as contemplated by these Terms.
You are responsible for your Input and for ensuring that it does not violate applicable law, these Terms, or the rights of any person or entity.
Output
The Services may generate text, images, code, analysis, reports, websites, applications, designs, audio, video, recommendations, or other materials in response to your Input (“Output”).
As between you and Opsbliss, and to the extent permitted by applicable law, you own your Output. To the extent Opsbliss may acquire any right, title, or interest in Output generated specifically for you, Opsbliss assigns such right, title, and interest to you.
This assignment does not include Opsbliss technology, software, interfaces, templates, systems, trademarks, or other materials that existed independently of your Output.
Similarity of Output
Because of the nature of artificial intelligence, Output may not be unique.
Other users may receive the same or similar Output, and your rights in your Output do not extend to Output generated independently for other users.
Permission to Process Your Content
You grant Opsbliss the rights reasonably necessary to host, process, transmit, reproduce, and otherwise use your Input and Output (“Content”) for the purpose of operating, providing, maintaining, securing, supporting, and administering the Services; complying with applicable law; enforcing our policies; and preventing fraud, misuse, or abuse.
These rights may extend to service providers and subprocessors where reasonably necessary to provide the Services.
Opsbliss does not use your private Content to train general-purpose generative AI models unless you expressly authorize such use.
5. AI Output and Reliance
Artificial intelligence and machine learning systems are probabilistic technologies and can produce incorrect or unexpected results.
Output may be inaccurate, incomplete, outdated, misleading, biased, offensive, inappropriate, or unsuitable for your intended purpose. Output may also incorrectly identify people, places, facts, products, sources, or other information.
You are responsible for evaluating Output before using, publishing, distributing, implementing, or relying on it.
You should independently verify factual claims and use appropriate human review when Output could materially affect you or another person.
Professional Advice
The Services and Output are not substitutes for professional advice.
Unless expressly stated otherwise, Opsbliss does not provide legal, medical, financial, tax, accounting, investment, employment, or other regulated professional advice.
You should consult an appropriately qualified professional when professional advice is required.
Generated Code and Applications
The Services may generate code, software, websites, applications, workflows, scripts, configurations, or other technical materials.
Generated code may contain errors, vulnerabilities, security issues, incompatible dependencies, licensing issues, or other defects.
You are responsible for reviewing, testing, securing, maintaining, and determining the suitability of generated code or applications before deploying or relying on them.
Opsbliss does not guarantee that generated software will operate without interruption, vulnerabilities, errors, or data loss.
6. Opsbliss Intellectual Property
Opsbliss and its licensors retain all right, title, and interest in and to the Services, including our software, technology, systems, interfaces, designs, trademarks, logos, documentation, and other materials provided by Opsbliss, excluding your Input and Output.
Subject to these Terms, Opsbliss grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your personal or business purposes during the period in which you are authorized to use the Services.
Nothing in these Terms transfers ownership of the Services or Opsbliss intellectual property to you.
7. Acceptable Use
You may not use the Services to engage in illegal, harmful, fraudulent, abusive, or unauthorized activity.
Without limiting the foregoing, you may not:
- violate applicable laws or regulations;
- infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or other rights of another person;
- upload or distribute malware, malicious code, or other harmful software;
- attempt to gain unauthorized access to accounts, systems, networks, or data;
- interfere with, disrupt, damage, or impair the Services or infrastructure used to provide them;
- circumvent usage limits, credits, rate limits, access controls, security protections, or safety measures;
- engage in fraudulent, deceptive, or unlawful impersonation;
- use the Services to exploit, abuse, or endanger minors;
- use unauthorized automated systems to scrape, harvest, or systematically extract data, Content, or Output from the Services;
- reverse engineer, decompile, disassemble, or attempt to discover non-public source code, algorithms, systems, or underlying components of the Services, except where such restriction is prohibited by law;
- resell, sublicense, rent, lease, or commercially provide access to the Services unless expressly authorized by Opsbliss;
- share credentials or accounts for the purpose of avoiding user, subscription, or usage limits;
- misrepresent the source or nature of Output in a manner that is fraudulent or unlawful; or
- use the Services in a manner that creates unreasonable security, legal, operational, or reputational risk for Opsbliss, our users, or third parties.
We may investigate suspected violations and restrict or suspend access where reasonably necessary to protect the Services, our users, third parties, or Opsbliss.
8. Third-Party Services and Integrations
The Services may allow you to connect to or interact with third-party applications, platforms, storage providers, publishing tools, productivity services, APIs, or other services (“Third-Party Services”).
By connecting a Third-Party Service, you authorize Opsbliss to access, receive, transmit, or process information from that service as reasonably necessary to provide the requested functionality.
Your use of Third-Party Services is subject to the applicable third party’s terms and policies.
Opsbliss does not control and is not responsible for Third-Party Services, including their availability, security, functionality, content, data practices, or changes.
Third-party integrations may be modified or discontinued if a provider changes or terminates its service, API, permissions, pricing, policies, or relationship with Opsbliss.
9. Subscriptions, Fees, and Usage Credits
Paid Services
Certain Services require payment of subscription fees, usage fees, credits, or other charges.
Prices, features, usage allowances, and plan limits are described at the time of purchase or on the applicable pricing or checkout page.
You agree to pay all applicable fees and taxes associated with your purchase.
Subscription Renewals
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period until canceled.
You authorize Opsbliss and its payment providers to charge the applicable payment method for recurring subscription fees and applicable taxes.
You may cancel a subscription through the available account or billing settings. Cancellation generally takes effect at the end of the then-current paid billing period unless otherwise required by law.
Usage Credits
Certain features may consume usage credits or similar usage-based units (“Credits”).
The number of Credits consumed may vary based on the feature, model, provider, request, processing requirements, or other factors.
Credit costs and usage requirements may change as underlying models, provider pricing, capabilities, and Services evolve.
Unless otherwise expressly stated:
- Credits have no cash or monetary value;
- Credits may not be sold, transferred, exchanged, or redeemed for cash;
- Credits may only be used with eligible Opsbliss Services;
- unused recurring Credits may expire or reset at the end of the applicable usage period; and
- expiration, renewal, or rollover rules may differ by plan or promotion.
Your applicable plan, offer, or checkout terms control if they expressly provide different Credit rules.
Trials and Promotions
Opsbliss may offer trials, promotional pricing, bonus Credits, discounts, or other promotions.
Promotional terms may vary and may be changed or discontinued where permitted by law.
If a trial converts into a paid subscription, the applicable price and renewal terms will be disclosed when you enroll.
Lifetime and Promotional Plans
Opsbliss may offer lifetime access, promotional, marketplace, or other special plans.
“Lifetime” access means access for the lifetime of the applicable Opsbliss product or plan, subject to these Terms and any terms disclosed with the applicable offer. It does not guarantee that every existing or future feature, AI model, integration, service, or usage allowance will be included indefinitely.
Features, Credits, limits, and benefits included with a promotional or lifetime plan are determined by the terms of the specific offer.
Price Changes
We may change prices, plan features, Credit requirements, or usage limits from time to time.
For recurring paid subscriptions, material price increases will apply no earlier than the next applicable renewal after any notice required by law.
Refunds
Except where otherwise stated at the time of purchase or required by applicable law, payments are non-refundable and Credits have no cash value.
Any specific refund policy or money-back guarantee presented as part of an offer will control for that offer.
10. App Store Purchases
If you purchase a subscription or other Services through Apple’s App Store or another third-party marketplace, your purchase may also be subject to that marketplace’s terms.
Payments, renewals, cancellations, and refunds for such purchases may be handled by the applicable marketplace rather than directly by Opsbliss.
For purchases made through Apple’s In-App Purchase system, payment is charged to your Apple ID account, and subscriptions can be managed through your Apple subscription settings.
To the extent applicable marketplace terms conflict with these Terms regarding billing or cancellation, the marketplace terms will control for purchases processed by that marketplace.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with the Services.
By using the Services, you acknowledge that information may be processed by Opsbliss and service providers necessary to operate the Services, including AI providers selected or used in connection with your requests.
You should review our Privacy Policy before using the Services.
12. Feedback
If you provide ideas, suggestions, recommendations, feature requests, or other feedback regarding Opsbliss (“Feedback”), you grant us the right to use that Feedback without restriction or compensation to you.
Providing Feedback does not transfer ownership of your Input, Output, or other Content to Opsbliss.
13. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access to some or all of the Services if we reasonably determine that:
- you have violated these Terms;
- your use creates a security, legal, financial, operational, or safety risk;
- suspension is necessary to prevent fraud, abuse, or harm;
- we are required to do so by law or governmental authority;
- you fail to pay applicable fees; or
- continued provision of the Services is no longer commercially or technically practicable.
Where reasonably practicable, we may provide notice before suspension or termination, but we may act immediately when necessary to protect Opsbliss, our users, third parties, or the Services.
Termination does not relieve you of payment obligations incurred before termination.
Sections that by their nature should survive termination will survive, including provisions concerning ownership, disclaimers, limitations of liability, indemnification, and dispute resolution.
14. Changes to the Services
Opsbliss is continuously evolving.
We may modify, update, add, remove, restrict, or discontinue Services, features, AI models, integrations, plans, or functionality.
We do not guarantee that any specific feature, model, integration, provider, or functionality will remain available indefinitely.
Where practicable, we will provide reasonable notice before discontinuing a material paid Service, except where immediate changes are necessary because of security concerns, legal requirements, third-party provider changes, circumstances outside our control, or similar reasons.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
OPSBLISS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, COMPLETE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT CONTENT WILL NOT BE LOST OR ALTERED.
WE DO NOT WARRANT THE ACCURACY, QUALITY, LEGALITY, SAFETY, ORIGINALITY, OR SUITABILITY OF AI-GENERATED OUTPUT.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES AND ANY RELIANCE ON OUTPUT IS AT YOUR OWN RISK.
Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSBLISS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF OPSBLISS AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO OPSBLISS FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the legal theory on which a claim is based and to the maximum extent permitted by applicable law.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Opsbliss and its affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
- your unlawful or unauthorized use of the Services;
- your Input or your use or distribution of Output;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement or violation of another person’s rights.
Opsbliss reserves the right to control the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.
18. Governing Law and Disputes
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Before initiating formal legal proceedings, you and Opsbliss agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days. A party seeking informal resolution may provide written notice describing the dispute and requested resolution.
Nothing in this section prevents either party from seeking relief in small claims court where eligible or seeking temporary or injunctive relief when necessary to prevent misuse of intellectual property, unauthorized access, or other immediate harm.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, applicable law, technology, security requirements, business practices, or other operational needs.
If we make changes that materially affect your rights or obligations, we will provide notice as required by applicable law, which may include email, an in-product notification, or a notice on our website.
The updated Terms will identify their effective or last-updated date.
Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms, except where applicable law requires another form of consent.
20. General Terms
Entire Agreement
These Terms, together with any policies, order forms, plan terms, or additional terms expressly incorporated into them, constitute the agreement between you and Opsbliss regarding the Services covered by these Terms.
Order of Precedence
If you enter into a separately signed agreement with Opsbliss governing the same Services, that agreement will control to the extent of any conflict with these Terms.
Specific terms presented for a subscription, promotion, marketplace offer, or other product may supplement these Terms.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Opsbliss may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
No Waiver
Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other provision.
No Partnership
These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between you and Opsbliss.
Force Majeure
Opsbliss will not be liable for delays or failures caused by circumstances beyond our reasonable control, including internet or infrastructure failures, natural disasters, labor disputes, governmental actions, cyberattacks, failures of third-party providers, or interruptions to AI providers or cloud services.
Headings
Section headings are provided for convenience and do not affect the interpretation of these Terms.
